Terms and Conditions of Sale
Effective Date: July 6, 2025
Legal Entity: Providence Sound and Vision Inc., a corporation organized under the laws of the State of Delaware, USA (“Company,” “we,” “us,” or “our”).
1. Scope of These Terms
These Terms and Conditions (“Terms”) govern all purchases made from Providence Sound and Vision Inc., whether through our website, in our physical retail store, by phone, or by email. By completing a purchase with us, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.
2. Order Acceptance & Contract Formation
All orders placed with us are subject to acceptance. We reserve the right to refuse or cancel any order at any time for any reason, including but not limited to availability, pricing errors, or suspected fraud. No contract is formed until you receive written order confirmation or shipment of goods.
3. Pricing, Payment, and Taxes
All prices are in U.S. dollars unless otherwise specified. Applicable sales tax will be added to orders shipped within the U.S. International customers are responsible for any customs duties, VAT, import taxes, or local fees. Payment is due in full at the time of order unless otherwise agreed in writing.
4. Special Order Terms and Conditions
Please note that any items marked as Special Order in their description on your quote or order are classified as Special Order merchandise. By initiating this purchase with either deposit or payment, you acknowledge and agree to the following:
- All Special Orders are non-cancellable, non-returnable, and non-refundable once payment or deposit has been submitted to Providence Sound and Vision.
- These items are custom-ordered specifically for you and are not eligible for return, cancelation, or refund under any circumstances.
- Estimated delivery timelines are provided for reference only and may vary.
- Special Order Items must be paid in full prior to order placement. A deposit may be accepted on a case-by-case basis and must be approved in writing by Providence Sound and Vision.
- By placing this order, you accept full responsibility for the specifications, compatibility, and suitability of the items purchased.
- If you have any questions regarding your order, please contact us prior to submitting payment.
5. Shipping, Delivery & Risk of Loss
We ship domestically and internationally. Title and risk of loss pass to the customer when the goods are transferred to the shipping carrier. Delivery dates are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, supply chain disruptions, or force majeure events.
6. Returns and Refunds
- In-store purchases may be eligible for return within 14 days of purchase if unused, in original packaging, and accompanied by a receipt.
- Online purchases (U.S.) may be returned within 14 days of receipt, excluding shipping and any applicable restocking fees. Items must be unused, in original packaging, and returned with proof of purchase.
- EU residents may withdraw from an online purchase within 14 days under the EU Consumer Rights Directive, except for Special Orders, custom, or made-to-order items, which are excluded.
To request a return, please contact us in advance at info@provsv.com. Returned items must be shipped at your expense unless otherwise required by law.
Refunds require an approved return and will be refunded to the original form of payment within 7 business days of receiving your return.
7. Warranties and Disclaimers
Providence Sound and Vision Inc. provides an extended warranty that adds one (1) additional year to the manufacturer’s original warranty on new products purchased directly from us.
- This extended warranty applies only to new items, and does not apply to used, vintage, demo, consignment, or open-box equipment.
- The extended coverage begins after the manufacturer’s warranty ends and follows the same general terms and conditions as the original warranty, covering defects in materials or workmanship under normal, intended use.
- The warranty does not cover damage resulting from misuse, abuse, accidents, unauthorized repairs or modifications, improper installation, power issues, environmental conditions, or normal wear and tear.
- If a product is found to be defective under this extended coverage, we will, at our discretion, repair, replace, or refund the item.
Manufacturer warranties vary by brand and product. Where applicable, we will support you in processing warranty claims through the original manufacturer.
Unless otherwise expressly stated, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
8. Limitation of Liability
To the maximum extent permitted by law, Providence Sound and Vision Inc. is not liable for indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount you paid for the product in question.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. U.S. customers agree to resolve any disputes in the state or federal courts of Delaware. International customers may be entitled to initiate claims in their local jurisdictions under applicable consumer laws.
10. Data Protection and Privacy
We are committed to safeguarding your personal information. U.S. and international users, including those in the European Union, may view how we collect, use, and store data in our Privacy Policy.
EU customers have rights under the General Data Protection Regulation (GDPR), including access, rectification, and erasure of personal data. To exercise your rights, contact us at info@provsv.com.
11. Electronic Communications
By placing an order or providing your email, you consent to receive communications electronically, including order confirmations, invoices, and notices, in compliance with the E-SIGN Act and similar international regulations.
12. Force Majeure
We are not responsible for delays or failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, labor strikes, supply shortages, carrier issues, or governmental restrictions.
13. Changes to These Terms
We may update these Terms at any time. The version posted at the time of your order shall govern that transaction. Please review these Terms before making each purchase.
14. Labor Terms and Scope of Work
All labor provided by Providence Sound and Vision Inc. is subject to the following terms:
- Labor estimates are not guaranteed. They are based on the known scope of work and site conditions at the time of quoting. Actual labor charges may vary depending on unforeseen factors, technical complexity, site readiness, customer-requested changes, or delays beyond our control.
- Final billing will reflect the actual time, materials, and services required to complete the job. We reserve the right to adjust the estimate if the project scope changes or if unanticipated conditions arise during execution.
- Any significant changes to estimated labor or scope will be communicated to the client as early as reasonably possible.
- Delays caused by third parties, inaccessible work areas, or customer-responsible tasks may be billed accordingly.
Scope Exclusions
Unless explicitly stated in writing, our labor does not include:
- Painting, drywall patching, wall finishing, or cosmetic touch-ups
- Plumbing, gas line work, or water-related installations
- High-voltage electrical work or service panel modifications
- Permits, code inspections, or direct coordination with local authorities
- Structural modifications, framing, carpentry, or construction work
- Furniture relocation, cleanup of unrelated debris, or disposal of existing equipment
- Project management of unrelated trades, vendors, or third parties
We recommend reviewing your installation area and project scope with us prior to scheduling. If additional work or coordination outside our scope is required, we may refer you to qualified professionals or include those services under a separate agreement.
Site Readiness Requirements
To ensure efficient and successful work, the following site conditions must be met prior to the start of labor:
- All AV infrastructure not supplied by Providence Sound and Vision must be fully installed and functional.
- Required power must be available and stable; HVAC systems must be operational and set to typical use conditions.
- Adequate lighting and access to functional electrical outlets must be provided.
- The site must be safe and accessible, with functioning fire exits and unlocked bathrooms.
- Any special access, building security, or PPE requirements must be disclosed in advance.
If these conditions are not met at the time of scheduled labor, Providence Sound and Vision reserves the right to delay, reschedule, or cancel the service visit. Delays caused by third parties, inaccessible work areas, or incomplete customer-responsible tasks may be billed accordingly. Additional charges may apply for wasted trips, extended labor, or site remediation delays.
